- Share required content, approvals, and feedback on time
- Ensure they have the right to use all materials provided (text, images, logos, etc.)
Delays in providing necessary inputs may affect project timelines.
4. Payments & Fees
- All services are provided on a paid basis, as agreed in advance
- Payments must be made according to the agreed schedule
- Delayed payments may result in project suspension or termination
- All fees are non-refundable unless otherwise stated in writing
5. Intellectual Property
- All deliverables remain the property of HGS Infotech until full payment is received
- Upon full payment, ownership of final deliverables is transferred to the client
- HGS Infotech retains the right to showcase completed work in its portfolio unless agreed otherwise
6. Revisions & Scope Changes
- Revisions are limited to the scope defined at the start of the project
- Any additional work or changes beyond the agreed scope may incur extra charges
- Timelines may be adjusted accordingly
7. Confidentiality
Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the project.
8. Limitation of Liability
HGS Infotech shall not be liable for:
- Any indirect, incidental, or consequential damages
- Loss of business, revenue, or data
- Performance outcomes affected by third-party platforms (e.g., Google, social media algorithms)
All services are provided on a best-effort basis without guaranteed results.
9. Third-Party Tools & Services
We may use third-party tools, platforms, or services (such as hosting, analytics, or advertising platforms). We are not responsible for their performance, policies, or changes.
10. Termination
We reserve the right to suspend or terminate services if:
- Terms are violated
- Payments are not made
- Misuse of services is identified
Clients may also terminate services with prior written notice. Any completed work up to that point will be chargeable.
11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of courts located in Punjab / Chandigarh / Mohali.
12. Updates to Terms
HGS Infotech may update these Terms & Conditions at any time. Continued use of our services constitutes acceptance of the updated terms.
